About Jonathan
Jon Boguth, a shareholder in the firm, advises a diverse client base on commercial transactions with a focus on IT-related arrangements.
Both startup and established for-profit businesses rely on Jon for a wide range of matters. He represents providers of technology-enabled services, marketing services, software and online platforms in several capacities, including structuring, drafting and negotiating their sales and distribution agreements, advising on strategies for enterprise sales, licensing, and data protection, and assisting in RFP responses.
Jon represents hospitals, health systems and businesses of all sizes – from multinational health care providers, to some of the largest nonprofit health systems in the United States, to independent critical access hospitals – in their technology procurement efforts. He works closely with in-house counsel, CEOs, CIOs, CISOs and their teams to help them accomplish their objectives while protecting their organizations. Whether his clients are dealing with the operational challenges of international data restrictions in national security agreements with the Committee on Foreign Investment in the United States ("CFIUS"), negotiating long-term agreements for electronic medical record ("EMR") systems or other essential business applications with established industry participants, seeking short-term arrangements to test technology solutions from new vendors or simply need a contract analysis or advice on potential disputes, Jon provides practical guidance to his clients. He also has experience in negotiating commercial agreements for IT transition services associated with hospital acquisitions and divestitures, for consulting, development and implementation services associated with IT projects, and for licensing data and providing access to biological samples from health system biorepositories.
When he isn’t working, Jon enjoys coaching his two boys’ various sports teams and golfing.
