Hall Render's Health Care and Public Finance Section assists health care organizations, other borrowers, lenders, investment bankers, governmental entities, nonprofit organizations, securities firms and other professionals in connection with various financing structures, including the issuance of tax-exempt bonds, taxable bonds, commercial financings, capital lease financings and working capital financings. In all instances, Hall Render takes pride in delivering high-quality services and advice, which extend well beyond the mere preparation of legal documents. Special Finance Counsel
Tax-exempt financing results in a lower cost of capital for governmental or 501(c)(3) health care providers but also requires ongoing compliance with the Internal Revenue Code and associated Treasury Regulations. The introduction of Schedule K to Form 990 has highlighted the importance of an efficient and effective debt compliance program. Bond Counsel
Hall Render's decades of experience in health law, coupled with our finance acumen, uniquely positions us to serve as bond counsel in the issuance of tax-exempt health care revenue bonds and achieve exceptional outcomes for our clients. We have represented hospitals, hospital systems, assisted-living facilities, continuing care retirement communities, other long-term care facilities, specialty hospitals, joint ventures and numerous other health care entities in financing their operations and capital projects, and we have also offered ongoing tax compliance advice. In addition to our legal counsel, our extensive network of lenders, investment bankers and other professionals is often employed to provide additional value to our clients.
Beyond health care transactions, Hall Render attorneys have also served as bond counsel to various political subdivisions in connection with the financing of public projects.
Underwriter's Counsel
Hall Render's health law focus also positions the firm to serve as Underwriter's Counsel in health care transactions. Our health care and public finance attorneys can readily tap their health law colleagues to advise on current regulatory and risk factors, to assist in the due diligence process and to be on call to handle any health care related issues that arise in the course of a financing. When coupled with our attorneys' understanding of the capital markets and securities laws, our firm's deep health law resources provide exceptional results to our underwriter clients.
Hall Render also serves as Underwriter's Counsel in traditional public finance transactions and in financings related to sports and convention facilities, schools, various non-health care 501(c)(3) facilities and in numerous other transactions.
Bank Counsel
Hall Render also serves as counsel to lenders, investment banks and other financial institutions in connection with the private placement of tax-exempt and taxable bonds. Our attorneys have served as counsel in commercial real estate financings, commercial and industrial financings, non-health care 501(c)(3) financings, multi-family housing financings, tax increment financings and others. We have represented letter of credit banks and investment banks in financings related to renewable energy projects, solid waste disposal facilities, agribusinesses and affordable housing developments. In short, our health care and public finance attorneys have the knowledge and experience to accomplish our clients' goals in any type of financing transaction.
Public Finance
Hall Render attorneys are also experienced in the representation of political subdivisions and state agencies in connection with their issuance of bonds to finance capital projects. Our attorneys have served as bond counsel and/or issuer's counsel to state financing authorities, cities, towns, counties and other governmental entities. Our experience extends to the financing of municipally owned utilities, governmental buildings, municipal hospitals, parks and recreational facilities and economic development initiatives. In addition, our attorneys are experienced in tax increment financing and have represented political subdivisions, investment banks and private companies in connection with tax increment financings.
Faith-Based Finance
Since its inception, Hall Render has served as counsel to numerous faith-based health care institutions. We have served as counsel in financings for faith-based health care providers, faith-based private schools, community centers, churches and other places of worship.
